THIS TERMS OF USE CONTAINS A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER WHICH MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS. PLEASE READ THESE TERMS CAREFULLY.
Acceptance of TermsBy accessing the Sites or using the Service, you: (a) acknowledge that you have read and understood these Terms; (b) accept and agree to be bound by these Terms; and (c) acknowledge that these Terms constitute a binding contract between HouseShop.Io or Meta Vodopivc and you. The Sites and Service are not intended for use by individuals under the age of 18. By using the Sites or Service, you represent and warrant that you are at least 18 years of age, or over the age of majority in your jurisdiction and able to enter into these Terms. By using the Sites and Service, you represent that you will comply with these Terms and all applicable laws.
IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS, YOU MUST LEAVE THE SITES AND CEASE USING THE SERVICE IMMEDIATELY. YOUR FURTHER USE OF THE SITES AND/OR SERVICE WILL CONSTITUTE ACCEPTANCE OF THESE TERMS.
Account RegistrationTo use the Service, you may register or create a user account (your “Account”) by providing all required data or information in a complete and truthful manner. You may also use the Service without registering or creating an Account; however, this may cause limited availability of certain features or functions. By creating an Account or otherwise entering your email and telephone contact information on any form on the Sites you expressly consent to receive marketing communications about our Services at the email address and telephone number provided, which communications we may deliver via email, phone, and text messages, including using an automatic telephone dialing system and/or an artificial or prerecorded voice. You also certify that the provided number is your actual cell phone number and not that of anyone else. Your consent is not a condition of making any purchase or entering into a transaction and you may revoke it at any time by replying “STOP” to any of our texts, unsubscribing from email communications using the unsubscribe link provided therein, or by emailing [email protected]. You are responsible for any activity that occurs on your Account, regardless of whether such use was authorized by you. You must keep your login credentials confidential and safe from unauthorized use or disclosure.
By registering for an Account, you agree to be fully responsible for all activities that occur under your username and password. You understand you are prohibited from sharing your username and password with anyone, including other members of your household.
You are required to immediately and unambiguously inform HouseShop.Io or Meta Vodopivc via the contact details set forth below of any suspicious or unauthorized use of your Account, or if you have reason to believe your Account credentials have been lost or stolen.
The Platform / Service / Employee Rewards Package is exclusively available to organizations based in the USA and international subsidiaries registered in the USA. The employee rewards package is only available to employees, members, contractors, affiliates, and other affiliated individuals with these organizations, and is intended solely for their real estate transactions within the USA.
Use of Communication ServicesThe Platform may include certain communications features such as SMS, MMS, email, voice call capabilities, and other methods. If You use these features, You agree that You are exclusively responsible for all communications sent using the Platform, including compliance with all laws governing those communications, such as the Telephone Consumer Protection Act (“TCPA”) and the CAN-SPAM Act. You represent and warrant that you understand and will comply with those laws. HouseShop.Io or Meta Vodopivc is not responsible for your compliance with laws and does not represent that your use of the Platform will comply with any laws. HouseShop.Io or Meta Vodopivc is a technology platform communication service application provider ONLY. HouseShop.Io or Meta Vodopivc does not originate, send, or deliver any communications to any recipient via SMS, MMS, email, or other communication method. You control the message, timing, sending, fraud prevention, and call blocking. All communications, whether SMS, MMS, email, or otherwise, are created by and initiated by you and/or your customers, whether generated by You or sent automatically via the Platform at Your direction.
License and RestrictionsHouseShop.Io or Meta Vodopivc hereby grants to you a limited, non-transferable, nonexclusive, revocable license to access and use the Sites, Service, and any information on the Sites or Service, including without limitation the text, photographs, drawings, graphics, software, audio, video, and other materials (collectively, the “Content”) for your own personal purpose of using the rewards program, assessing the benefits, or other limited purposes expressly authorized by these Terms.
You may download a single copy of the Content for your sole personal and non-commercial use, provided that you do not remove any copyright or other proprietary notice in the Content.
Except as authorized by HouseShop.Io or Meta Vodopivc in writing, you understand and agree you shall not, and shall not allow any third-party to:
copy, reproduce, host, frame, download, distribute modify, translate, transform, publish, transmit, sell, sublicense, edit, transfer/assign to third parties, or create derivative works from the Sites, Service, or Content; decompile, disassemble, deconstruct, or reverse engineer the Service;commercially exploit or use the Sites, Service, or Content to create a substantially similar product, service, or offering competitive products with the Sites or Service; use the Sites or Service to upload or distribute any Trojan horses, worms, bots, spiders, scrapers, or other malicious software, program, script, algorithm, or similar process; use the Sites or Service to send unsolicited bulk or commercial email (“spam”), junk mail, or other solicitous communications, or taking any action that imposes an unreasonable or disproportionately large load on the Sites’ servers; or using the Sites, Service, or Content for any unlawful, obscene, defamatory, threatening, harassing, abusive, or otherwise objectionable purpose, as determined in HouseShop.Io or Meta Vodopivc ’ sole discretion.
User ContentThroughout your use of the Sites and Service, you may enter information or content, such as your Account information, communication preferences, or reviews (collectively, “User Content”). By entering any User Content, you grant HouseShop.Io or Meta Vodopivc a nonexclusive, royalty-free, worldwide license to use your User Content in accordance with our Privacy Policy and Data Processing Policy, as may be amended from time to time (the “HouseShop.Io or Meta Vodopivc Privacy Policy”), and for the purpose for which you provided the User Content. You represent and warrant to HouseShop.Io or Meta Vodopivc , and its affiliates, subsidiaries, and users that:you own your User Content or are authorized to provide the User Content to HouseShop.Io or Meta Vodopivc ;your User Content is true and accurate, to the best of your knowledge;your User Content will not infringe the proprietary or contract rights of any third-party;your User Content does not violate any applicable laws or these Terms; andyour User Content does not include any unlawful, harassing, abusive, threatening, obscene, defamatory, false, or otherwise objectionable material, as determined in HouseShop.Io or Meta Vodopivc ’ sole discretion.
Liability for User ContentYou are solely liable for User Content you upload, post, share, or provide, including without limitation any claims, damages, liabilities, or actions that result from your User Content. HouseShop.Io or Meta Vodopivc shall have the right, but not the obligation, to remove, delete, block, disable, or correct User Content at its own discretion without notice or liability to you.
HouseShop.Io or Meta Vodopivc has the right, but not the obligation, to review your User Content and to disable access to or remove any User Content that violates these Terms or applicable law without notice or liability to you. You may remove or edit your User Content at any time via your User Account.
FeedbackThroughout your use of the Sites and/or Service, you may provide, or we may request, feedback, comments, reviews, or other information about your experience (collectively, the “Feedback”). Where you provide Feedback to us, you grant us a nonexclusive, sublicensable perpetual license to use your Feedback for any purpose permitted by applicable law, including without limitation to publish, reproduce, display, transform, translate, market and use in promotional materials, and create derivatives of your Feedback, without compensation to you. If your Feedback contains personal information about you, we will use it in accordance with our Privacy Policy.
Third-party ResourcesThrough the Sites or the Service, you may have access to websites, software, content, or other external resources provided by third parties. You acknowledge and accept that third parties control those external resources. HouseShop.Io or Meta Vodopivc has no control over and does not warrant or endorse such resources and is therefore not responsible for their function, content, accuracy, or availability. You use any external resources available through the Sites or Service at your own risk.
Third Party Services. The Platform may leverage or include access to Third Party Services. HouseShop.Io or Meta Vodopivc is not responsible for the usability or accessibility of Third Party Services. HouseShop.Io or Meta Vodopivc reserves the right to release the phone number or delete some or all of your Platform Account in its sole discretion, without liability. HouseShop.Io or Meta Vodopivc disclaims all liability related to outages or downtime of Third Party Services.
Third Party Content. The Platform may include Third Party Content. Your use of Third Party Content is entirely at your own risk and discretion. All statements and opinions expressed in Third Party Content are solely the opinions and the responsibility of the third party and do not necessarily reflect the opinion of HouseShop.Io or Meta Vodopivc . HouseShop.Io or Meta Vodopivc is not responsible for Third Party Content and makes no endorsements, representations or warranties and assumes no liability, obligation or responsibility for Third Party Content. You are responsible for ensuring that your engagement or transactions with Third Party Content are in compliance with these Terms and any applicable laws.
Intellectual Property RightsAll title, interest, and intellectual property rights, including without limitation all copyrights, trademark rights, patent rights, trade secrets, right of publicity, and design rights, related to the Sites, the Content, or the Service and all data, software, programs, source code, algorithms, processes, documentation, and functionality contained within the Sites or Service, in all translations, media, and formats, are the exclusive property of HouseShop.Io or Meta Vodopivc or its licensors and are subject to the protection granted by applicable laws or international treaties relating to intellectual property. The Sites, Content, and Service cannot be copied, reproduced, altered, or modified without the express written consent of HouseShop.Io or Meta Vodopivc .
You acknowledge you only receive a license to use the Sites, Content, and Service and do not acquire any interest in, and shall not claim any right to, the Sites, Content, or Service.
The HouseShop.Io or Meta Vodopivc name, logo, and other marks, trade names, service marks, taglines, or logos (collectively, the “Trademarks”) appearing in connection with the Sites or the Service are owned or licensed by HouseShop.Io or Meta Vodopivc . You are not granted any right or license with respect to the Trademarks, and any unauthorized use is strictly prohibited.
DisclaimersThe Sites and Service are provided on an “as-is” and “as available” basis. HouseShop.Io or Meta Vodopivc does not represent or warrant that the Sites, Content, or Service are accurate, complete, reliable, current, or error-free. To the fullest extent permissible by law, HouseShop.Io or Meta Vodopivc disclaims any and all warranties and representations, whether express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, and non-infringement. HouseShop.Io or Meta Vodopivc does not guarantee that the Sites or Service will be uninterrupted or error-free, that defects will be corrected, or that the Sites or Service are free of viruses or other harmful components. HouseShop.Io or Meta Vodopivc is not responsible for the accuracy or reliability of any information transmitted through the Sites or Service.
Limitation of LiabilityTo the fullest extent permitted by applicable law, HouseShop.Io or Meta Vodopivc shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including without limitation damages for lost profits, lost data, or lost goodwill, arising out of or related to these Terms, the Sites, the Content, or the Service, regardless of the cause of action, even if HouseShop.Io or Meta Vodopivc has been advised of the possibility of such damages. In no event shall the aggregate liability of HouseShop.Io or Meta Vodopivc arising out of or relating to these Terms, the Sites, the Content, or the Service, exceed the greater of $100.00 or the amount you paid HouseShop.Io or Meta Vodopivc for the Service giving rise to the liability. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.Your exclusive remedy and our entire liability, if any, for any claims arising out of these Terms and your use of the Platform or the Services shall be limited to the amount you paid us for Services opted in on the Platform during the three (3) month period before the act giving rise to the liability.
IN NO EVENT SHALL HouseShop.Io or Meta Vodopivc BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, PUNITIVE, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM MALICIOUS CODE, LOSS OF USE, DATA OR PROFIT LOSS, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND ON ANY THEORY OF LIABILITY, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE PLATFORM OR THIRD PARTY SERVICES OR OF ANY WEBSITE REFERENCED OR LINKED TO FROM THE PLATFORM.
FURTHER, WE SHALL NOT BE LIABLE IN ANY WAY FOR THIRD PARTY SERVICES OR DISRUPTIONS THEREOF, OR THIRD PARTY PROMISES AND/OR STATEMENTS REGARDING OUR PLATFORM SERVICES OR CONTENT OR FOR TRANSACTIONS WITH THE THIRD PARTY THROUGH THE PLATFORM, INCLUDING WITHOUT LIMITATION THE PROCESSING OF ORDERS.
SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. PLEASE CONSULT THE LAWS IN YOUR JURISDICTION.
You agree to defend, indemnify, and hold HouseShop.Io or Meta Vodopivc harmless against all demands, claims, actions, proceedings, damages, liabilities, losses, fees, costs, or expenses (including without limitation reasonable attorneys’ fees and the costs of any investigation) directly or indirectly arising from or in any way connected with your use of the Platform (“Claims”), including, but not limited to: (a) our use of or reliance on information or data supplied or to be supplied by you, your employees, agents, or customers; (b) any breach of or default under these Terms by you, your employees, agents, or customers; (c) the wrongful use or possession of any HouseShop.Io or Meta Vodopivc property by you, your employees, agents, or customers; (d) any negligence, gross negligence, or willful misconduct by you or your employees, agents, or customers; (e) misrepresentations by you, your employees, agents, or customers; (f) violation(s) of applicable law by you, your employees, agents, or customers; (g) your actions and the actions of your employees, agents, or customers; (h) the acts or omissions of you, your employees, agents, or customers in connection with providing notice and obtaining consents regarding the origination or content of the SMS or MMS messages, email, or other communications using the Services; (i) Taxes and other Fees; and/or (j) any disputes between (1) you and other users, (2) you and your client(s), and/or (3) your customers.
If the Platform is found to violate any third-party intellectual property right, at our option we may: (a) obtain the right for you to continue to use the Platform as contemplated by these Terms; (b) modify or replace the Platform, in whole or in part, to seek to make the Platform non-infringing; or (c) require you to immediately cease any use of the Platform.
Limitation On Time To File ClaimsANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM MUST BE COMMENCED WITHIN THREE (3) MONTHS AFTER THE EVENT GIVING RISE TO THE ACTION OR CLAIM OCCURRED, REGARDLESS OF WHEN YOU KNEW OR SHOULD HAVE KNOWN ABOUT IT; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
Injunctive ReliefYou agree that a breach of these Terms will cause irreparable injury to HouseShop.Io or Meta Vodopivc for which monetary damages would not be an adequate remedy, and HouseShop.Io or Meta Vodopivc shall be entitled to seek equitable relief, in addition to any remedies it may have hereunder or at law, without having to post a bond or other security.
IndemnificationYou agree to defend, indemnify, and hold HouseShop.Io or Meta Vodopivc and its affiliates, officers, directors, agents, and employees harmless from and against any and all claims, damages, liabilities, costs, and expenses (including without limitation reasonable attorneys’ fees) arising out of or related to your use of the Sites, Content, or Service, including without limitation your User Content, your violation of these Terms, or your violation of any rights of another.
TerminationHouseShop.Io or Meta Vodopivc may terminate your access to the Sites or Service at any time, without cause or notice, which may result in the forfeiture and destruction of all information associated with your Account. All provisions of these Terms that by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Governing Law and Dispute ResolutionThese Terms and your use of the Sites and Service shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms, the Sites, or the Service shall be resolved exclusively through binding arbitration conducted in Ontario, Canada, under the rules of the American Arbitration Association. You and HouseShop.Io or Meta Vodopivc agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
Changes to TermsHouseShop.Io or Meta Vodopivc reserves the right to modify or replace these Terms at any time at its sole discretion. Any changes to the Terms will be effective immediately upon posting the revised Terms on the Sites. Your continued use of the Sites or Service following the posting of changes will constitute your acceptance of such changes. You should review these Terms periodically to ensure you are aware of any changes.
MiscellaneousIf any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The failure of HouseShop.Io or Meta Vodopivc to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. You may not assign or transfer your rights or obligations under these Terms without the prior written consent of HouseShop.Io or Meta Vodopivc , and any attempt to do so without such consent will be null and void. HouseShop.Io or Meta Vodopivc may assign or transfer its rights and obligations under these Terms without restriction. These Terms constitute the entire agreement between you and HouseShop.Io or Meta Vodopivc regarding your use of the Sites and Service and supersede any prior agreements between you and HouseShop.Io or Meta Vodopivc .
Waiver And SeverabilityNo waiver by HouseShop.Io or Meta Vodopivc of a term or condition set forth in these Terms shall be deemed a continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of HouseShop.Io or Meta Vodopivc to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.Definitions
"Feedback” means ideas You provide to HouseShop.Io or Meta Vodopivc regarding improvements, enhancements, new features, new products, or other concepts related to the Platform, Services, or other matters related to HouseShop.Io or Meta Vodopivc ’s business.
"HouseShop.io Marks” means the HouseShop.io name and related logos and service marks of HouseShop.io.
“Information” means data about You and Your customers that HouseShop.Io or Meta Vodopivc collects on the Platform, including but not limited to information required to create a Platform Account and use the Platform for the intended purpose.
“Platform” means any Services, Training, content, functionality, communication channels, and software or other services or features offered to customers on or through HouseShop.Io or Meta Vodopivc ’s or HouseShop.Io or Meta Vodopivc ’s real estate rewards provider (third-party service).
“Platform Account” means the account/website created in order to access and use the Platform.
“Services” means the variety of services that HouseShop.Io or Meta Vodopivc makes available via real estate rewards provider (third-party service) on the Platform. Services may include Third Party Services.
“Third Party Content” means content, promotions or offers provided by third parties or links to external third-party websites that may be accessible on the Platform.
“Third Party Services” means any Services or other services owned and provided by a third-party vendor that HouseShop.Io or Meta Vodopivc makes available to You as a Service on or through the Platform.
“Training” means any training, information or suggested usages conveyed by HouseShop.Io or Meta Vodopivc or HouseShop.Io or Meta Vodopivc agents, employees, or contractors about the Platform.
“You” or “you” or any derivatives thereof means the individual who accepted the Terms or the business entity that the individual represents. “You” also includes any and all agents, employees, or third parties that are authorized to act on your behalf.
